"the Name" means the registered domain name of :
"the Price" means the sum of :

2.1. In consideration of, and subject to, the payment of the Price, the SELLER as unencumbered beneficial owner of the Name hereby assigns to BUYER its whole right, title and interest past, present and future in and to the Name and the domain registration thereof and the goodwill attaching thereto.

3.1. BUYER will make full payment of the price to the SELLER by direct transfer into SELLER's bank account (see below).
3.2. SELLER will complete the transaction by transferring the ownership records, admin, technical, and billing contact, with the registration service that manages the Name. Thereafter the BUYER has full control over the Name and can move it to a Registration Service of preference, if desired.
3.3. SELLER agrees to execute any and all documents necessary in connection with the transfer of the Name hereunder.
3.4. SELLER agrees to transfer full ownwership and all right, title and interest in and to the Name to the BUYER after receipt of payment in full.

4.1. SELLER is the registered proprietor and beneficial owner of the name;
4.2. SELLER has not granted or assigned and will not grant or assign any right of any nature in the Name to any third party other than to BUYER;
4.3. There are no liens or other encumbrances in respect of the Name which affect its ability to grant the assignment contained herein;
4.4. There are no claims, actions, suits, or demands, pending or threatened, contingent or actual, against the SELLER with respect to the Name transferred.

This Agreement shall be governed by the Law of England and Wales and the parties hereby prorogate the non-exclusive jurisdiction of the Courts of England and Wales.
